Terms
The expression “the Exhibition” wherever mentioned herein shall mean the event as detailed overleaf. The expression “the Organiser”
wherever mentioned shall mean Workingmums.co.uk. The expression “the Exhibitor” wherever mentioned herein shall mean any company, firm or person who has ordered display space and been allocated display space at the Exhibition.
Ordering and display space allocation
Bookings will only be accepted if the Exhibitor has already received a copy of these Rules & Regulations and Display Space Plan. If, by telephone or in writing, the Exhibitor requests display space to be booked as referenced on the Display Space plan and if the Organiser approves the Exhibitor’s display space order, the Exhibitor will immediately complete, sign and return the Exhibition Display Space contract to the Organiser. On acceptance of the Exhibition Stand Contract by the Organiser these Rules and Regulations will come into force between the Organiser and the Exhibitor. On receipt by the Organiser of the Exhibition Display Space Contract the Organiser will mail to the Exhibitor an appropriate invoice depending on the amount due (see payment terms on Stand Contract) or will debit the appropriate amount from the registered credit card given on the Stand Contract.
Every effort will be made to allocate the display space which has been ordered, however to facilitate an effective layout to the Exhibition and if the Organiser believes it to be in the best interest of the Exhibition, the Organiser has the right to reallocate display space at any time provided that the reallocated display space shall not be more than 10% greater or less than the display space which has been booked. The area allocated shall be the full extent of display area available to the Exhibitor.
Payment
Payments will fall due as per agreed terms on the signed contract. To secure a specific stand space, the Exhibitor must return the Stand Contract within 5 working days and pay as per terms in the agreed contract within 28 of the invoice from the Organiser. In the event that the Exhibitor fails to pay any sum in the time and manner agreed herein, the Organiser may in writing require the Exhibitor to forego the display space allocated to them without the Organiser being under any liability to refund or abate charges paid or due herein. Exhibitor cancellation
If the Exhibitor wishes to cancel this agreement then they must do so by giving written notice to the Organiser by registered post as soon as possible. In such event the Exhibitor shall be liable for a cancellation fee equal to the amount due at the date of cancellation in accordance with the payment terms set out on the Stand Contract. This amount is not a penalty but a genuine pre-estimate of damages the Organiser will suffer as a consequence of the Exhibitor’s cancellation. The date of cancellation shall be the date that the Organiser actually receives the notice sent by the Exhibitor. If the Exhibitor cancels within 30 days of the start of the Exhibition, 100% of the payment will be due. If the Exhibitor cancels within 60 days of the start of the Exhibition, 75% of the payment will be due.
In the event of the Exhibitor becoming bankrupt or making a composition with their creditors or going into liquidation or having a receiver or administrator appointed over all or any of his assets, the Organiser reserves the right to cancel any display space allocation without being under any liability to refund or abate any charges paid or due herein.
Exhibitor representative
The Exhibitor must name at least one person to be their representative in connection with the installation, operation and removal of their exhibits. Such representative shall be authorised to enter into such service contracts as may be necessary for which the Exhibitor will be responsible.
Hours of opening
The exhibition will be open to visitors at advertised stated times during which periods the Exhibitor undertakes to have their exhibits on display, in good order, adequately attended and not covered up.
Display space and display arrangement
A space only scheme will be provided by the Organiser. Exhibitors are required to erect their own stands and will need to ensure that appropriate Health & Safety regulations and requirements are met.
Exhibits shall be arranged so as to not obstruct the general view, nor hide the exhibits of others. Plans for specially built stands or displays must be submitted to the Organiser for approval before construction is ordered. No stand or display exposing an unfinished surface to neighbouring stands will be permitted. If, in the opinion of the Organiser, the Exhibitor’s stand or display extends beyond their allocated area, the Organiser may, at their sole discretion, charge the Exhibitor a reasonable additional sum for the extended space taken beyond that allocation; the decision of the Organiser shall be final.
The Organiser reserves the right to relocate the Exhibitor if, in their absolute discretion, they think such relocation is necessary in the best interests of the Exhibition.
The Organiser and any other person either authorised by the Organiser or having an interest in the premises shall without notice be entitled to access at all reasonable times to the exhibition stand and for this purpose the Organiser shall be entitled to use such force as may be necessary without incurring any liability whatsoever to the Exhibitor.
Removal of exhibits
No exhibit shall be packed, removed or dismantled prior to the closing of the Exhibition without the permission of the Organiser. If the Exhibitor acts in breach of this provision they shall pay (by way of compensation for the detraction to the Exhibition’s appearance) and in addition to all sums otherwise due under this agreement, an amount equal to one third of the total display space charge for the Exhibitor’s allocated area.
The Exhibitor will be liable for all storage and handling charges resulting from failure to remove all exhibits and display materials from the allocated area before 17.00 hours following the closure of the Exhibition. The Exhibitor must surrender exhibition space in its original condition. No nails, screws, other fittings, glue etc. are to be used on the premises. The Exhibitor shall make good and indemnify the Organiser for any damage to the premises by the Exhibitor, their agent, contractors or employees.
Requirements of superior authorities
The Exhibitor shall promptly comply with any requirementsi\mposed on the Organiser by the proprietors or managers of the Exhibition building or any municipal or any other competent authority on written notice of such being given to the Exhibitor by the Organiser.
All inflammable materials shall be fireproofed or otherwise protected against fire in accordance with any statutory or local regulations or requirements to which the Exhibition may be subject.
Use of display space
The Exhibitor agrees not to assign or sublet any display space allocated to them without prior written consent from the Organiser, nor to display or advertise goods or services other than those manufactured or carried by them in the normal course of business.
Sales by auction are prohibited.
Undesirable activities
If it appears to the Organiser that the Exhibitor is engaged in activities which are contrary to the best interests of the Exhibition or unethical or in breach of the law, the Organiser may, without being under any liability to refund or abate any charges paid or due herein, prohibit any exhibit or part thereof or cancel any display space allocation which may have been made to the Exhibitor and require them forthwith to vacate the display space allocated to them and refuse the Exhibitor the right to participate further in the Exhibition.
Canvassing for orders, except by the Exhibitor on their own stand in the normal course of their business is strictly prohibited, and in any such case the right of expulsion will be exercised forthwith. The distribution or display of printed or other placards, handbills or circulars or any other articles except by the Exhibitor on their own display space is prohibited.
Limitation of liability
The Organiser, its agents and employees shall not be liable for any loss, theft, or damage or injury to persons or property during the terms of this agreement from any cause whatsoever.
To the best of the Organiser's knowledge and belief, information given by the Organiser about the Exhibition is accurate, however no warranty or representation to this effect is given by the Organiser. Therefore any mistake or omission in respect of such information does not entitle the Exhibitor to cancel their space booking.
Indemnity
The Exhibitor shall indemnify the Organiser and hold it harmless against any liability for injury to persons or property arising from any cause whatsoever in connection with the participation in the Exhibition by the Exhibitor, their agents, contractors or employees. The Exhibitor shall also indemnify the Organiser against any claim made by any contractor or agent appointed by the Organiser arising out of the failure of the exhibitor, their agents, contractors or employees to perform in any way any contract entered into by the Exhibitor with such contractors or agent.
Change of location, curtailment or change of date of exhibition
In the event that the premises where the Exhibition is to be held shall, in the sole determination of the Organiser, become unfit or unavailable for occupancy, or shall suffer substantial interference by reason of fire, flood, tempest or any other such cause or as a result of government intervention, malicious damage, acts of war, acts of God, strike, lockout, labour dispute, picketing, embargo, injunction, riot, or any other cause or agency over which the Organiser has no control, or should the Organiser decide that owing to any such cause or agency it is necessary or advisable to curtail, relocate or change the date of the Exhibition or reduce the planned period for preparation, display or dismantling, the Exhibitor waives any and all claims they might have against the Organiser for refunds, damages or expenses.
Under any of these circumstances the Organiser reserves the right, without being under any liability to the Exhibitor for refunds, additional expenses or otherwise, to change the location and/or date of the Exhibition upon reasonable notice to the Exhibitor.
